Ediso Terms of Service

Ediso helps learners describe what they want to learn in natural language and uses artificial intelligence to generate personalized learning paths, interactive lessons, explanations, quizzes, projects, and related learning materials. Ediso may also connect learners with independent experts, coaches, tutors, mentors, facilitators, or instructors (“Experts”) who provide human guidance through scheduled sessions, projects, feedback, or other paid or unpaid offerings.

Ediso may update, modify, suspend, or discontinue any part of the Service at any time.

The Service may generate learning paths, explanations, lesson content, assessments, feedback, summaries, recommendations, and other content using artificial intelligence (“AI Content”).

AI Content is generated automatically and may be incomplete, inaccurate, outdated, biased, or inappropriate for your specific circumstances. AI Content is provided for educational and informational purposes only. It is not professional, medical, legal, financial, tax, mental health, engineering, safety, or other regulated advice.

You are responsible for independently evaluating the accuracy, usefulness, safety, and suitability of AI Content before relying on it. You should not use AI Content as the sole basis for important decisions.

Ediso does not guarantee that AI Content will meet your learning goals, produce a particular outcome, be error-free, or be suitable for any particular academic, professional, certification, employment, or personal purpose.

You must be at least 13 years old to use the Service.

If you are under 18, you may use the Service only with the involvement and consent of a parent or legal guardian. By allowing a minor to use the Service, the parent or guardian agrees to these Terms and is responsible for the minor’s activity on the Service.

The Service is not intended for children under 13. If we learn that we have collected personal information from a child under 13 without required parental consent, we may delete the account and related information, subject to applicable law.

If Ediso is used by a school, district, educational institution, or organization for students, that organization is responsible for obtaining all required permissions, consents, notices, and authorizations from parents, guardians, students, and staff as required by applicable law.

You may need to create an account to use certain features. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us promptly if you believe your account has been compromised or used without authorization.

We may suspend or terminate your account if we believe your account information is inaccurate, your account has been compromised, or your use of the Service violates these Terms or creates risk for Ediso, users, Experts, or others.

You agree not to:

• Use the Service for unlawful, harmful, fraudulent, abusive, or deceptive purposes.
• Harass, threaten, abuse, exploit, discriminate against, or harm another user, Expert, Ediso team member, or third party.
• Submit content that is illegal, infringing, defamatory, obscene, hateful, sexually exploitative, violent, or otherwise harmful.
• Use the Service to generate or distribute content that violates another person’s rights, including intellectual property, privacy, publicity, or contractual rights.
• Attempt to bypass, disable, reverse engineer, scrape, overload, interfere with, or compromise the Service or its security.
• Use bots, scripts, crawlers, or automated systems without our prior written permission.
• Misrepresent your identity, credentials, qualifications, affiliation, age, or authority.
• Record an Expert session without the consent of all participants.
• Use the Service to seek or provide emergency, crisis, medical, legal, financial, or other regulated advice where a licensed professional or emergency service is required.
• Circumvent or attempt to circumvent Ediso’s marketplace, scheduling, or payment systems to avoid fees or transact directly with an Expert introduced through Ediso.

We may remove content, restrict features, suspend accounts, or terminate access if we believe this section has been violated.

Experts are independent providers who may offer guidance, tutoring, mentoring, coaching, instruction, project support, or related services through Ediso.

Experts are not employees, agents, partners, franchisees, or representatives of Ediso. Ediso does not control the manner in which Experts provide their services and is not responsible for statements, advice, materials, conduct, availability, or performance of any Expert.

Ediso may review, approve, reject, suspend, or remove Experts at our discretion. However, Ediso does not guarantee that any Expert has been independently verified, background checked, licensed, certified, or qualified for a particular learner, subject, purpose, or outcome unless we expressly state otherwise in writing.

Experts are responsible for:

• Providing accurate information about their background, qualifications, experience, availability, and services.
• Complying with applicable laws, rules, professional standards, and platform policies.
• Maintaining professionalism and respectful conduct.
• Protecting learner privacy and confidential information.
• Providing services in a safe and appropriate manner.
• Paying their own taxes and expenses.
• Holding any licenses, permissions, or authorizations required for the services they offer.

Experts may not represent that they are employees or agents of Ediso or that Ediso endorses their advice, outcomes, credentials, or services unless expressly authorized by Ediso in writing.

Ediso may facilitate discovery, scheduling, communication, payment, and related tools between learners and Experts. We do not guarantee:

• That a session will meet your expectations.
• That an Expert will be available at a particular time.
• That a learner will achieve a specific academic, career, certification, professional, or personal result.
• That an Expert’s advice will be accurate, complete, or suitable for your circumstances.
• That any session will be safe, appropriate, uninterrupted, or error-free.

You are responsible for determining whether an Expert is suitable for your needs before booking or continuing a session.

Ediso may monitor, review, or moderate marketplace activity to protect users, enforce these Terms, improve the Service, or comply with legal obligations, but we are not obligated to do so.

Some parts of the Service may be free, and others may require payment, including subscriptions, session fees, project fees, Expert fees, platform fees, or other charges.

Prices, fees, cancellation policies, refund policies, and applicable taxes will be shown before purchase or booking where required. By purchasing or booking through the Service, you authorize Ediso and our third-party payment processor to charge your selected payment method for the applicable amount.

Payments are processed by third-party payment providers, and your use of payment features may be subject to their terms, privacy policies, and compliance requirements.

Experts may set their own rates and availability, subject to Ediso’s policies. Ediso may charge platform fees, service fees, payment processing fees, or commissions on transactions.

Cancellation, rescheduling, no-show, and refund rules may vary by offering and will be displayed at the time of booking or purchase when applicable. Unless required by law or expressly stated in the applicable policy, payments are non-refundable.

We may issue refunds, credits, or adjustments at our discretion. Providing a refund in one case does not obligate us to provide refunds in other cases.

If you dispute a charge, initiate a chargeback, or fail to pay amounts owed, we may suspend or terminate your access to paid features.

If Ediso offers subscriptions, your subscription may automatically renew unless you cancel before the renewal date. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis for the applicable fees and taxes.

You may cancel your subscription through your account settings or any other method we make available. Cancellation will take effect at the end of the current billing period unless otherwise stated. We generally do not provide refunds for partially used subscription periods unless required by law or expressly stated by us.

We may change subscription pricing or features from time to time. If required, we will provide notice before changes apply to you.

If you meet, discover, communicate with, or book an Expert through Ediso, you agree not to use that relationship to avoid Ediso’s marketplace, payment, subscription, commission, or platform fees.

This means you may not solicit, arrange, accept, or make payments for substantially similar services outside Ediso with an Expert introduced to you through Ediso, unless Ediso gives prior written permission or a separate written policy permits it.

Experts may not encourage learners to transact outside Ediso to avoid fees.

You may submit prompts, learning goals, chat messages, assignments, documents, feedback, reviews, profile information, session notes, and other content to the Service (“User Content”).

You retain ownership of your User Content. By submitting User Content, you grant Ediso a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, process, display, transmit, modify, create derivative works from, and use your User Content as necessary to operate, provide, secure, support, personalize, and improve the Service.

Subject to our Privacy Policy and applicable law, this may include using User Content to generate learning paths, personalize lessons, improve product quality, troubleshoot issues, enforce policies, develop new features, and improve our AI systems.

You represent that you have all rights necessary to submit User Content and grant the license above. You are responsible for your User Content and for ensuring that it does not violate laws, third-party rights, school policies, confidentiality obligations, or these Terms.

You may be able to submit ratings, reviews, comments, testimonials, suggestions, or other feedback about the Service or Experts.

You agree that your reviews and feedback will be truthful, based on your genuine experience, and not misleading, defamatory, abusive, discriminatory, or unlawful.

Ediso may use, display, edit for length or clarity, remove, or decline to publish reviews or feedback at our discretion.

If you provide suggestions, ideas, improvements, or other feedback to Ediso, you grant us the right to use them without restriction or compensation to you.

Ediso and its licensors own all rights, title, and interest in and to the Service, including software, technology, designs, interfaces, workflows, databases, models, prompts, templates, platform-generated learning structures, branding, logos, trademarks, and other intellectual property.

Subject to these Terms, Ediso grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own learning or authorized organizational use.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works based on the Service except as expressly permitted by these Terms or applicable law.

No rights are granted to you except those expressly stated in these Terms.

Ediso may provide or generate educational content, including lessons, quizzes, projects, explanations, exercises, summaries, rubrics, study plans, and learning paths.

Unless otherwise stated, Ediso grants you a limited license to use such materials for personal, non-commercial learning purposes. You may not resell, redistribute, publish, upload to another platform, or commercially exploit Ediso-generated materials without our prior written permission.

For organizational, classroom, school, enterprise, or commercial use, separate terms may apply.

The Service may integrate with or link to third-party services, including payment processors, calendar tools, video conferencing tools, authentication providers, analytics providers, AI model providers, content providers, and external websites.

Ediso does not control and is not responsible for third-party services. Your use of third-party services may be governed by their own terms and privacy policies.

We are not responsible for the acts, omissions, availability, accuracy, security, or content of third-party services.

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, share, and protect information.

By using the Service, you agree that Ediso may process information as described in the Privacy Policy.

If you use the Service on behalf of a school, organization, or minor, you are responsible for providing required notices and obtaining required consents under applicable privacy, education, and child protection laws.

Ediso is not an emergency service and should not be used for crisis situations.

If you are experiencing a medical, mental health, safety, legal, or other emergency, contact emergency services or a qualified professional immediately.

You may not use the Service in high-risk environments where inaccurate content, delays, or system failures could lead to death, personal injury, property damage, legal harm, financial loss, or environmental harm.

The Service may provide educational explanations about many subjects. However, Ediso does not provide professional advice.

You agree not to rely on the Service or Expert sessions as a substitute for advice from licensed professionals, including doctors, lawyers, accountants, financial advisors, engineers, therapists, or other regulated professionals.

Experts are solely responsible for complying with laws that apply to their services, including licensing and professional conduct rules.

If you believe content on the Service infringes your copyright or other intellectual property rights, you may contact us at help@ediso.ai with sufficient information for us to investigate, including:

• Your name and contact information.
• A description of the copyrighted work or intellectual property you claim has been infringed.
• A description or location of the allegedly infringing content.
• A statement that you have a good-faith belief that the use is not authorized.
• A statement that the information you provide is accurate.
• Your physical or electronic signature.

We may remove or disable access to content that we believe infringes third-party rights and may terminate accounts of repeat infringers.

We may offer experimental, preview, beta, or early-access features. These features may be incomplete, unstable, inaccurate, or discontinued at any time.

Beta features are provided for testing and feedback and may be subject to additional terms.

You may stop using the Service at any time. You may request account closure through the tools we provide or by contacting us.

We may suspend or terminate your account or access to the Service at any time if we believe:

• You violated these Terms or our policies.
• Your use creates risk or potential legal exposure for Ediso, users, Experts, or others.
• Your account has been compromised.
• You have engaged in fraud, abuse, non-payment, circumvention, or unlawful conduct.
• We are required to do so by law or a third-party service provider.

Upon termination, your right to use the Service will end immediately. Sections that by their nature should survive termination will survive, including sections relating to intellectual property, payments owed, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, AI CONTENT, EDUCATIONAL MATERIALS, EXPERT MARKETPLACE, EXPERT SESSIONS, AND ALL RELATED FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

EDISO DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND COURSE OF DEALING.

EDISO DOES NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• AI CONTENT WILL BE ACCURATE, COMPLETE, SAFE, OR SUITABLE.
• EXPERTS WILL MEET YOUR EXPECTATIONS OR ACHIEVE ANY OUTCOME.
• THE SERVICE WILL PRODUCE ANY PARTICULAR LEARNING, ACADEMIC, PROFESSIONAL, EMPLOYMENT, CERTIFICATION, OR FINANCIAL RESULT.
• ERRORS OR DEFECTS WILL BE CORRECTED.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDISO, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, INVESTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR PERSONAL OR PROFESSIONAL OUTCOMES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDISO’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO EDISO FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE; OR
• USD $100.

The limitations above apply regardless of the legal theory, whether based on warranty, contract, tort, negligence, strict liability, statute, or otherwise, even if Ediso has been advised of the possibility of damages.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Ediso, Inc. and its officers, directors, employees, contractors, affiliates, licensors, investors, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• Your use or misuse of the Service.
• Your User Content.
• Your violation of these Terms.
• Your violation of applicable law or third-party rights.
• Your interaction with another user or Expert.
• Your services as an Expert, if applicable.
• Your attempt to circumvent Ediso’s fees, marketplace, or payment systems.

We reserve the right to control the defense of any matter subject to indemnification, and you agree to cooperate with us.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent applicable law provides otherwise.

You and Ediso agree to first attempt to resolve any dispute informally by contacting help@ediso.ai.

If a dispute cannot be resolved informally, any legal action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, unless applicable law requires another forum.

You and Ediso consent to the personal jurisdiction and venue of those courts.

Nothing in this section prevents either party from seeking injunctive or equitable relief to protect intellectual property, confidential information, platform integrity, security, or users.

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and may provide additional notice through the Service, email, or other reasonable means.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using the Service.

Ediso is operated from the United States. If you access the Service from outside the United States, you are responsible for complying with local laws.

You understand that your information may be processed in the United States and other countries where Ediso or its service providers operate.

These Terms, together with our Privacy Policy and any additional terms that apply to specific features, are the entire agreement between you and Ediso regarding the Service.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Ediso’s failure to enforce any provision is not a waiver of our right to do so later.

You may not assign or transfer these Terms without our prior written consent. Ediso may assign these Terms in connection with a merger, acquisition, financing, sale of assets, corporate reorganization, or by operation of law.

There are no third-party beneficiaries to these Terms unless expressly stated.
